Vernata provides Independent Governance Participation to support the completion of key governance processes, alongside Governance Insight & Analysis based on direct market engagement.

The firm participates in AGMs and EGMs as an independent shareholder and develops an evidence-based view of how governance functions in practice, based on observable behaviours and investor engagement. Given the high proportion of investors investing via fund platform nominees who are unable to represent themselves, independent representation and challenge is important.

Vernata works with funds and service providers across key European and Middle Eastern domiciles, including the UK, Ireland, Luxembourg and the DIFC.

The firm does not provide investment advice, portfolio management, capital-raising or proxy voting services, and does not act on behalf of third parties.

Vernata participates directly in governance processes where meeting and voting rights are exercised.

This includes attendance at AGMs and general meetings in an independent capacity, supporting the functioning of governance processes, where participation may otherwise be limited due to the prevalence of ownership-via-nominee.

Participation is undertaken independently and without acting under mandate or instruction.

Governance Insight & Analysis

Vernata develops independent insight into how governance operates in practice across investment funds and related structures.

​

The focus is on observed behaviours, participation dynamics and decision-making processes, rather than formal governance design.
