Independent Governance Participation

Vernata participates directly in governance processes where meeting and voting rights are exercised.

This includes:

​

  • Reviewing meeting notices, explanatory materials and voting structures

  • Participating in AGMs and general meetings in an independent capacity

  • Voting on resolutions in accordance with a defined governance approach

  • Engaging with boards, management companies, ACDs and relevant service providers

​

Participation supports the effective functioning of governance processes, particularly where investor engagement may otherwise be limited due to predominantly ownership-via-nominee.

​

All participation is undertaken independently and without acting under mandate or instruction.

Governance Insight & Analysis

Vernata provides independent analysis of governance practices across investment funds, with a focus on how governance operates in practice.

The work is observational and analytical in nature, drawing on publicly available information, meeting materials and direct participation where applicable.

Services include:

​

  • Analysis of governance frameworks, constitutional structures and disclosures

  • Review of AGM and GM processes, including participation levels, quorum dynamics and voting outcomes

  • Identification of trends, patterns and variations in governance implementation over time

 

The focus is on observed behaviours, participation dynamics and decision-making processes across jurisdictions and fund structures.

 

The work does not involve acting on behalf of third parties or providing discretionary services.

Philip Rose
Director

Philip Rose has 27 years' experience in financial services, spanning fund management, product development and distribution across the UK and Middle East.


He has founded and led two regulated firms in the UK and UAE, bringing direct experience of fund governance from multiple perspectives — as an executive, as a founder and as a fiduciary.


He currently holds governance roles as Independent Director of a Luxembourg-domiciled UCITS fund and as a member of the Oversight Committee of a DIFC-domiciled public fund.

 

These roles involve active participation in board-level governance, oversight of fund operations, and engagement with management companies and service providers.


Vernata draws on this experience to engage with fund governance as an informed, independent participant.
